Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the DocHubPH platform, including dochubph.comand all associated services, features, and applications (collectively, the “Service”), operated by DocHubPH(“we,” “our,” or “us”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

Certain features of the Service require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your credentials confidential and not share them with third parties.
• Notify us immediately at info@dochubph.com if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account. We are not liable for any loss resulting from unauthorized use of your credentials.

3. Description of Service

DocHubPH is a transaction management platform designed for Philippine property, permit, and registration processes. The Service includes:

• Ask DocHub: A free AI-powered guide that answers questions about Philippine government transactions. Available without registration.
• Work Management: Tools to organize transactions into phases and steps with assigned users, documents, and expenses.
• Document Vault: Secure cloud storage for property documents, certificates, and transaction records.
• Marketplace: A platform for connecting property owners with verified agents, lawyers, and fixer services.
• Notifications: Email and SMS alerts for document expiry, work updates, and transaction milestones.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to violate any applicable Philippine law or regulation.
• Upload false, misleading, fraudulent, or counterfeit documents.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Service to facilitate money laundering, tax evasion, or other financial crimes.
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure.
• Transmit malware, viruses, or any other malicious code.
• Scrape, crawl, or harvest data from the Service without our express written permission.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to harass, threaten, or harm other users.

Violation of these rules may result in immediate suspension or termination of your account and, where applicable, reporting to relevant authorities.

5. User Content

You retain ownership of all documents, data, and content you upload or create within the Service (“User Content”). By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely to provide and improve the Service.

You represent and warrant that:

• You have the right to upload, share, and grant us a license to your User Content.
• Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
• Your User Content is accurate and not submitted for fraudulent purposes.

We do not review all User Content but reserve the right to remove content that violates these Terms or applicable law.

6. Marketplace

The DocHubPH Marketplace connects users with independent service providers (agents, lawyers, fixers). We act as a platform intermediary and are not a party to any agreement between users and providers.

• We do not guarantee the quality, legality, or accuracy of services offered by providers.
• Users are responsible for conducting their own due diligence before engaging any provider.
• Any disputes between users and providers must be resolved directly between the parties.
• We reserve the right to suspend or remove providers who violate our platform standards.

7. AI Chat — Ask DocHub

Ask DocHub is an AI-powered information tool designed to provide general guidance on Philippine property and government transactions. By using Ask DocHub, you acknowledge that:

• Responses are generated by an AI and may not always be accurate, complete, or current.
• Ask DocHub does not constitute legal, financial, tax, or professional advice.
• You should verify all information with qualified professionals (lawyers, licensed brokers, government agencies) before making decisions.
• DocHubPH is not liable for any decisions made based on AI-generated responses.

8. Subscriptions and Payments

Certain features of the Service may require a paid subscription. Where applicable:

• Subscription fees are stated in Philippine Pesos (PHP) unless otherwise indicated.
• Fees are charged in advance on a monthly or annual basis as selected at the time of subscription.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Refunds are not provided for partial subscription periods, unless required by applicable law.
• We reserve the right to change pricing with at least 30 days' notice.

If you believe a charge is incorrect, contact us at info@dochubph.com within 30 days of the charge.

9. Intellectual Property

The Service, including its design, software, features, trademarks, and content (excluding User Content), is owned by DocHubPH and protected by Philippine and international intellectual property laws. You may not copy, modify, distribute, sell, or sublicense any part of the Service without our prior written consent.

The DocHubPH name and logo are trademarks of DocHubPH. Unauthorized use of our trademarks is prohibited.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times.
• Information provided through Ask DocHub is accurate, complete, or up to date.
• The Service will meet your specific requirements or expectations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCHUBPH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR PHP 1,000, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless DocHubPHand its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Termination

You may close your account at any time by contacting us at info@dochubph.com. We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if required by law.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the appropriate courts of the Philippines having jurisdiction over the matter.

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email or by a prominent notice on the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may close your account before the changes take effect.
